These Terms of Service ("Terms") govern your use of ChairSide ("Service"), operated by ChairSide ("we," "our," or "us"). By accessing or using our Service, you agree to these Terms.
ChairSide provides AI-powered front desk automation for independent dental practices, including online scheduling, appointment management, patient communication, recall management, and insurance verification tools.
To use certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate and complete registration information.

You acknowledge that the Service processes patient health information. You are responsible for ensuring your use of the Service complies with HIPAA and other applicable healthcare privacy laws. We will enter into a Business Associate Agreement (BAA) upon request.
You are responsible for obtaining any necessary patient consents for the collection and use of their information through our platform.
The Service, including its design, features, and content, is owned by ChairSide and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your practice's internal business purposes.
You retain ownership of all data you input into the Service. We claim no ownership over your practice data or patient information. Upon termination, you may request an export of your data within 30 days.
We strive for 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime or service interruptions beyond our reasonable control.
To the maximum extent permitted by law, ChairSide shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
You agree to indemnify and hold harmless ChairSide from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
We may suspend or terminate your access to the Service if you violate these Terms or fail to pay subscription fees. Upon termination, your right to use the Service ceases immediately, but provisions that by their nature should survive will remain in effect.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Continued use after changes constitutes acceptance.
